TERMS OF AGREEMENT
This Agreement describes the complete terms and conditions that apply to your participation as an affiliate of YourOnlineStore.biz. As used in this Agreement, "we" or "us" refer to YourOnlineStore.biz, "you" or "your" or "our" refer to the participant or affiliate.
THIS IS A LEGAL AGREEMENT BETWEEN YOU AND YOURONLINESTORE.BIZ. BY ACCEPTING THE TERMS OF THIS AFFILIATE AGREEMENT, YOU ARE STATING THAT YOU HAVE READ AND FULLY UNDERSTAND THE TERMS SET FORTH HEREIN AND ARE INDICATING YOUR ACCEPTANCE OF THIS AGREEMENT AND YOU AGREE TO BE BOUND BY THE TERMS HEREOF.
1-Enrollment
To begin the enrollment process, you will submit a complete YourOnlineStore.biz Application to participate in our Affiliate Program. You will receive immediate conditional acceptance and automatic response via email. We will then evaluate your application in good faith and verify the content of your website, in case if you have one. We will
notify you if there is need for rejection. We may reject your application at any time if we determine (at our sole discretion) that your site is unsuitable for the Program for any reason, including, but not limited to, if your site includes images or content that promotes sexually obscene materials, child pornography, promotes violence, promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age, promotes illegal activities, or violates intellectual property rights and/or copyrights or trademarks.
2-Modification
We may modify any terms and conditions of this agreement at our sole discretion. This may include for example, price changes, payment procedures or a new feature added to our site. You will be notified of any type of changes, either via email or at our Message Board.
3-Website Templates
The templates offered at YourOnlineStore.biz, will be for the only and exclusive use of our affiliates, when joining our program. It is not permitted to reuse or copy this material for any type of purpose if you decide to no longer be enrolled in our affiliate program.
4-Order Processing
We will be responsible for processing your orders: credit card approval, prescription approval, shipment of the medication, cancellation and all customer service inquires (this includes contacting the customer over the phone or via email if necessary). We may decline an order due to medical reasons, fraudulent information or location of
delivery.
Returns: The FDA prohibits prescription medication from being returned once it leaves the pharmacy. However, if you received a commission for an order that was returned, we may deduct it on your following invoice according to the notification of return.
International Orders: There are some countries that we do not ship our products to: Denmark, Indonesia, Italy, Middle East or Sweden. On each and every international order, the customer is responsible for the package as soon as it leaves the US and this includes: duties, taxations charges or lost of the package.
5-Commissions
We will provide you our price-based list. Your commission will be the difference on the price that you wish to apply on each product. For example: if the cost of 10 Viagra 100 mg pills is $130.00 and you choose to charge $144.90 for the same product, your commission will be equal to $14.90.
If you enroll a subaffiliate to YourOnlineStore.biz, we will pay you 5% of his/her commission.
Your customers will always be yours. The way that our system is set up, automatically we can identify your affiliate code whenever your customer comes back to reorder.
6-Payment
Our payments are issued according to the traffic of sales your website provide. We make weekly and bi-weekly payments. They are made by check, pay pal or wire transfer.
Wire transfers can be chosen only if your website provide a high significant amount of sale.
7-Sales
You, as an affiliate, will have full responsibility to fit the proper linking information into your website. We will provide you the links and the assistance necessary to have this information implemented in order to track your orders, sales and to change or edit your information.
8-SPAM
Spam is NOT allowed as soon as you enroll in this Affiliate Program. We strictly enforce the use of Spam which will automatically result in the termination of your account.
9-Qualifyfing Products
All products listed in our website may be changed or added at any time. This includes any price changes according to market conditions or any price alteration given by a specific manufacture. Notifications will be sent via email or posted on the Message Board.
10-Limitation of Liability
We will not be liable for indirect, special or consequential damages, or any loss of revenue, profits or data, arising in connection with this Agreement or the Program, even if we have been advised of the possibility of such damages. Further, our aggregate liability arising with respect to this Agreement and the Program will not exceed the total amount paid or payable to you under to this Agreement.
11-Relationship of Parties
You and we are independent contractors, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. You will have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on your site or otherwise, that reasonably contradicts anything in this section.
12-Copyrighted and Trademarked Material
YourOnlineDrugstore.biz will not be responsible for the content placed on your website, if it is a copyrighted or trademarked material from a different party. You take full responsibility to work and follow according to the law or take the actions in case if violated.
13-Disclaimers
YourOnlineStore.biz makes no warranties of any kind, whether express or implied, with respect to the affiliate program. We are not responsible for damages suffered by any customer, including incidental damages or lost profits. This includes loss of data resulting from delays, non-deliveries, system failures or service interruptions caused by any source whatsoever. We make no representation that the operation of our site or the affiliate sites will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or errors.
14-Indemnification
You hereby agree to indemnify, defend and hold harmless YourOnlineStore.biz, its shareholders, officers, directors, employees, agents, affiliates, successors and assigns, from and against any and all claims, demands, losses, liabilities, damages or expenses (including attorneys' fees and costs) of any nature whatsoever incurred or suffered by us (collectively the "Losses"), in so far as such Losses (or actions in respect thereof) arise out of, are related to, or are based on (i) any claim or threatened claim that our use of the Affiliate Trademarks infringes on the rights of any third party; (ii) the breach of any representation or warranty made by you herein; or (iii) or any claim related to your site.
